1. Acceptance of Terms
By accessing, browsing, or using any services, websites, mobile applications, or software products provided by Beyond Universe Software Technologies Private Limited ("BUSoft", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must immediately discontinue use of our services. These terms constitute a legally binding agreement between you and BUSoft.
2. Definitions
For the purposes of these Terms and Conditions, the following definitions apply:
"Services" refers to all software products, platforms, applications, APIs, websites, consulting services, and any related offerings provided by BUSoft.
"User" or "You" refers to any individual, entity, or organization that accesses or uses our Services, whether as a registered account holder or a visitor.
"Content" refers to all text, images, data, code, software, audio, video, graphics, and other materials uploaded, downloaded, or appearing on our platforms.
"Intellectual Property" refers to all patents, trademarks, copyrights, trade secrets, proprietary algorithms, designs, and other intellectual property owned by BUSoft.
"Agreement" refers to these Terms and Conditions together with our Privacy Policy, Cookie Policy, and any other policies referenced herein.
"Confidential Information" refers to any non-public information disclosed by either party, including business strategies, technical data, customer lists, and financial information.
3. Eligibility and Account Registration
To use our Services, you must meet the following eligibility requirements and account conditions:
• Age Requirement: You must be at least 18 years of age or the legal age of majority in your jurisdiction to enter into a binding agreement.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
4. Services and License Grant
Subject to your compliance with these Terms, BUSoft grants you the following limited rights:
• License: A limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business or personal purposes.
• Restrictions: You may not sublicense, resell, distribute, copy, modify, reverse engineer, decompile, or create derivative works of our software or services.
• Service Modifications: BUSoft reserves the right to modify, suspend, or discontinue any part of the Services at any time with or without prior notice.
• Updates: We may release updates, patches, or new versions of our software. Continued use after updates constitutes acceptance of the modified Services.
5. Intellectual Property Rights
All intellectual property associated with BUSoft's Services is exclusively owned by BUSoft or its licensors:
• Ownership: All software, source code, algorithms, designs, logos, trademarks, documentation, and content are the exclusive property of BUSoft.
• No Transfer: Nothing in these Terms grants you any right, title, or interest in our intellectual property beyond the limited license expressly stated herein.
• User Content: You retain ownership of content you submit but grant BUSoft a worldwide, royalty-free license to use, store, and process it for service delivery.
• Feedback: Any suggestions, ideas, or feedback you provide may be used by BUSoft without obligation to compensate you or maintain confidentiality.
6. User Obligations and Prohibited Conduct
You agree to use our Services responsibly and in compliance with all applicable laws. The following conduct is strictly prohibited:
6.1 Prohibited Activities
• Using our Services for any unlawful purpose, including fraud, money laundering, terrorism financing, or violation of any local or international law.
• Attempting to gain unauthorized access to our systems, networks, servers, or other users' accounts through hacking, phishing, or social engineering.
• Uploading or transmitting viruses, malware, spyware, ransomware, or any code designed to disrupt, damage, or limit the functionality of our Services.
6.2 Data and Content Restrictions
You must not upload, share, or transmit any content that is defamatory, obscene, discriminatory, infringing on third-party rights, or that violates any applicable laws. BUSoft reserves the right to remove any content that violates these terms without prior notice.
6.3 Fair Usage
You agree to adhere to the following fair usage standards when using our Services:
• Do not use automated systems, bots, or scripts to access our Services without express written permission from BUSoft.
• Do not interfere with or disrupt the integrity or performance of our Services or the data contained therein.
• Do not attempt to probe, scan, or test the vulnerability of our systems or breach any security or authentication measures.
• Do not impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• Do not use our Services to send unsolicited communications, spam, or bulk messages to other users or third parties.
BUSoft reserves the right to investigate and take appropriate legal action against anyone who violates these provisions, including terminating their account and reporting to law enforcement.
6.4 Compliance with Export Laws
You agree to comply with all applicable export control laws and regulations. You shall not export, re-export, or transfer our Services or any technical data to any country, entity, or person prohibited by applicable trade sanctions, embargoes, or export control regulations without proper governmental authorization.
6.5 Third-Party Services Integration
Our Services may integrate with or contain links to third-party services. BUSoft is not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and conditions, and you assume all risks associated with such use.
6.6 Service Level Commitments
BUSoft strives to maintain high availability for all Services. However, we do not guarantee uninterrupted access and shall not be liable for any downtime resulting from scheduled maintenance, force majeure events, third-party service failures, or circumstances beyond our reasonable control. Specific SLAs may be outlined in separate service agreements.
7. Payment Terms and Fees
If you subscribe to paid Services, you agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise stated. BUSoft reserves the right to change pricing with 30 days' written notice. Failure to pay may result in suspension or termination of access to paid Services. All amounts are exclusive of applicable taxes unless stated otherwise.
8. Limitation of Liability
To the maximum extent permitted by applicable law, BUSoft and its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of our Services, even if advised of the possibility of such damages. Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless BUSoft, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to your violation of these Terms, your use of the Services, or your infringement of any third-party rights.
10. Termination
BUSoft may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease. All provisions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in Chennai, Tamil Nadu, India under the Arbitration and Conciliation Act, 1996.
